1. Acceptance of Terms

By accessing or using Vaulit (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Vaulit (“Company,” “we,” “us,” or “our”).

2. Description of Service

Vaulit is an AI-powered personal document management service that allows you to upload, store, organize, and search personal documents. Features include optical character recognition (OCR), automatic categorization, expiry alerts, and semantic search.

The Service is intended for personal use by individuals 18 years of age or older residing in the United States. By using the Service, you represent that you meet these eligibility requirements.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at legal@vaulit.app if you suspect unauthorized access to your account.

4. Subscription Plans and Billing

Vaulit offers a free tier and paid subscription plans. Paid plans are billed monthly or annually as selected at the time of purchase. All fees are in US dollars and are non-refundable except as expressly set forth in these Terms or required by applicable law.

Founding Member pricing is available to the first 1,000 subscribers at the advertised rate and is locked for the lifetime of an active subscription. If your subscription lapses, the Founding Member rate is forfeited. We reserve the right to modify pricing for new subscribers at any time with at least 30 days' advance notice.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods.

5. Your Content

You retain ownership of all documents and files you upload to Vaulit (“Your Content”). By uploading content, you grant Vaulit a limited, non-exclusive license to process, store, and display Your Content solely to provide the Service to you.

You represent and warrant that: (a) you own Your Content or have the right to upload it; (b) Your Content does not violate any third-party rights or applicable law; and (c) Your Content does not contain malware, viruses, or other harmful code.

We do not train our AI models on Your Content. Your documents are processed only to provide the Service features you use (OCR, categorization, search).

6. Prohibited Uses

You agree not to use the Service to:

Upload or store content that is illegal, obscene, or infringes on others' rights
Impersonate any person or entity or misrepresent your affiliation
Attempt to gain unauthorized access to the Service or other users' accounts
Reverse engineer, decompile, or disassemble any portion of the Service
Use automated tools to scrape, crawl, or extract data from the Service
Resell, sublicense, or otherwise commercialize access to the Service
Violate any applicable federal, state, or local law or regulation

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

8. Security and Encryption

Vaulit uses industry-standard encryption to protect Your Content in transit and at rest. However, no method of transmission or storage is 100% secure. We cannot guarantee absolute security and are not liable for unauthorized access resulting from circumstances beyond our reasonable control.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VAULIT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Vaulit is a document management tool and is not a substitute for professional legal, financial, medical, or other professional advice. Expiry alerts are provided as a convenience and may not be accurate. You are responsible for independently verifying important deadlines.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VAULIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF VAULIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

VAULIT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VAULIT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vaulit and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export Your Content before termination or within 30 days of termination notice. After that period, we may permanently delete Your Content.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on this page with an updated effective date and, for material changes, notify you by email at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
